Terms of Service

These Terms of Service ("Terms") govern your access to and use of XrmGhost software, downloads, updates, subscriptions, support, and related services or materials that XrmGhost makes available (collectively, the "Product"). By downloading, installing, accessing, purchasing, or using the Product, you agree to these Terms.
1. Scope of the Product
XrmGhost is offered as a local-first, downloadable product. Core functionality is intended to run primarily on infrastructure, devices, and environments that you control. Some parts of the Product may still depend on XrmGhost-managed systems for account, billing, update delivery, support, or similar companion functions. Those companion services are part of the Product and are governed by these Terms.
Some companion functions may require XrmGhost to process limited operational data, including pseudonymized machine registration identifiers, to provision, validate, secure, support, or administer service-connected functionality. XrmGhost handles that processing as described in the Privacy Policy.
2. Eligibility and authority
You may use the Product only if you can form a binding contract under applicable law and are not prohibited from using the Product under applicable export-control, sanctions, or other legal restrictions. If you use the Product on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
Some Product features may require you to create or maintain an account. You must provide accurate information, keep it current, and protect your login credentials. You are responsible for activity that occurs through your account and for any use of the Product by people to whom you give access. You must promptly notify XrmGhost if you become aware of unauthorized access to your account.
4. License and permitted use
Subject to these Terms and your payment of any applicable fees, XrmGhost grants you a limited, non-exclusive, non-transferable, non-sublicensable right to download, install, access, and use the Product for your internal business or personal use, as applicable to your plan. You may not use the Product in a way that exceeds your subscription, seat, or usage limits.
Except to the extent applicable law prohibits the restriction, you may not:
- copy, modify, or create derivative works of the Product except as expressly allowed by XrmGhost in writing;
- sell, resell, rent, lease, distribute, or commercially exploit the Product for third parties except as expressly permitted by your plan;
- reverse engineer, decompile, disassemble, or attempt to discover source code, trade secrets, or underlying components of the Product;
- bypass technical restrictions, security controls, or usage limits;
- remove proprietary notices from the Product; or
- use the Product to build or help build a competing product or service using non-public Product features or materials.
5. Acceptable use
You may not use the Product to:
- violate any law, regulation, court order, or third-party right;
- upload, transmit, or distribute malware, harmful code, or content intended to disrupt systems or data;
- interfere with or disrupt the Product or related systems;
- attempt unauthorized access to accounts, devices, environments, or data;
- use the Product for fraud, deception, abuse, harassment, or infringement; or
- use the Product in a way that creates unreasonable risk to XrmGhost, other users, or third parties.
XrmGhost may investigate suspected misuse and may suspend or terminate access when reasonably necessary to protect the Product, users, third parties, or XrmGhost's legal and operational interests.
6. Customer systems and responsibilities
Because XrmGhost is a local-first product, you are responsible for the systems, devices, Microsoft environments, credentials, data sources, backups, configurations, and permissions that you choose to connect to or use with the Product unless XrmGhost expressly agrees otherwise in writing. You are also responsible for obtaining any rights, notices, or consents needed for your own data and environments.
You are responsible for evaluating whether the Product is appropriate for your intended use, including any compliance, security, retention, or operational requirements that apply to you.
Where the Product uses service-connected registration or support features, you acknowledge that XrmGhost may process the related pseudonymized machine registration and operational data as part of providing the contracted Product functions.
7. Subscription terms
The Product may be offered on a paid subscription basis, including recurring monthly or yearly plans, one-time purchases, trials, or other commercial arrangements described at the time of order. Your subscription entitlements, pricing, renewal cadence, and included features are determined by the plan you select or the order accepted by XrmGhost.
Trials, previews, beta features, and promotional offers may be subject to additional conditions and may be changed, limited, or withdrawn at any time.
8. Billing and payment
If you purchase a paid plan, you must provide a valid payment method and authorize XrmGhost to charge all applicable fees, taxes, and other amounts due for your selected plan.
For launch billing flows, XrmGhost uses Stripe as the payment processor unless a different processor is expressly identified in the applicable checkout or invoicing flow. Your payment may also be subject to the processor's terms and privacy practices. XrmGhost is not responsible for payment-processor services that it does not control.
If payment cannot be completed or is declined, XrmGhost may suspend or limit access to paid features until payment is successfully received.
9. Auto-renewal, cancellation, and no refunds
Unless your order or plan states otherwise, paid subscriptions renew automatically for successive billing periods equal to the initial subscription term. You authorize XrmGhost to charge the payment method on file at each renewal unless you cancel before the next renewal term begins.
You may cancel a paid subscription at any time, but cancellation takes effect at the end of the then-current paid term. Except where required by applicable law or expressly stated otherwise by XrmGhost in writing, fees already paid are non-refundable and XrmGhost does not provide refunds or credits for partial billing periods, unused time, downgrades, or cancellations made before the end of the paid term.
XrmGhost may change subscription pricing, packaging, or included features prospectively. Any change will apply no earlier than your next renewal or other later date communicated to you.
10. Updates, support, and changes to the Product
XrmGhost may release updates, patches, new versions, maintenance fixes, or feature changes for the Product at any time. Some updates may be required for continued compatibility, security, or functionality.
XrmGhost may also add, modify, limit, or discontinue Product features, companion services, or integrations, including features that depend on third-party platforms, provided that XrmGhost will act reasonably with respect to paid entitlements.
Any support, maintenance, or service levels are only those expressly promised in the applicable plan, order, or separate written agreement.
11. Third-party services and dependencies
The Product may interoperate with third-party software, platforms, payment processors, or infrastructure that are not controlled by XrmGhost. Your use of those third-party services may be subject to separate terms from the relevant third party. XrmGhost is not responsible for third-party services, including their availability, security, acts, omissions, or legal compliance.
XrmGhost intends to keep its own hosted service components for the Product within an EU-resident hosting footprint, but some supporting providers or related processing may involve international access or transfers as described in the Privacy Policy.
12. Intellectual property
As between you and XrmGhost, XrmGhost and its licensors retain all right, title, and interest in and to the Product, including all software, updates, documentation, branding, and related intellectual property rights. These Terms do not transfer ownership of the Product or grant any right beyond the limited use rights expressly stated here.
If you provide suggestions, ideas, feedback, or recommendations about the Product, XrmGhost may use them without restriction or obligation to you.
13. Suspension and termination
XrmGhost may suspend or terminate your access to the Product immediately if:
- you materially breach these Terms;
- payment is overdue;
- your use creates security, legal, or operational risk; or
- XrmGhost is required to do so by law or to protect the Product or third parties.
You may stop using the Product at any time, and you may cancel subscriptions as described above. On termination, your right to use the Product ends immediately, except that any locally installed components already on your systems remain subject to these Terms until you stop using them and, where applicable, remove them. Sections that by their nature should survive termination will survive, including payment obligations accrued before termination, intellectual property, disclaimers, liability limits, export/sanctions, and governing-law provisions.
14. Disclaimers
To the maximum extent permitted by applicable law, the Product is provided "as is" and "as available." XrmGhost disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
XrmGhost does not warrant that the Product will be uninterrupted, error-free, secure, compatible with every environment, or suitable for your specific requirements.
15. Limitation of liability
To the maximum extent permitted by applicable law, XrmGhost and its affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or business interruption, arising out of or related to the Product or these Terms.
To the maximum extent permitted by applicable law, the aggregate liability of XrmGhost and its affiliates, licensors, and service providers for all claims arising out of or related to the Product or these Terms will not exceed the greater of (a) the amounts you paid to XrmGhost for the Product during the 12 months before the event giving rise to the claim or (b) EUR 100.
Nothing in these Terms limits liability that cannot be limited under applicable law.
16. Indemnity
If you use the Product on behalf of a business or other organization, that organization will defend, indemnify, and hold harmless XrmGhost and its affiliates, personnel, licensors, and service providers from and against third-party claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Product, your data, your connected systems, or your breach of these Terms, except to the extent caused by XrmGhost's own breach of these Terms or willful misconduct.
17. Export controls and sanctions
You may not use, export, re-export, transfer, provide, or otherwise make the Product available in violation of applicable export-control, trade, or sanctions laws. You represent that you are not located in, organized under the laws of, ordinarily resident in, or owned or controlled by a person in a country or region subject to comprehensive trade sanctions, and that you are not otherwise prohibited from receiving the Product under applicable law.
18. Governing law and forum
These Terms and any non-contractual disputes arising out of or related to them are governed by the laws of Italy, excluding its conflict-of-laws rules. The courts located in Italy will have exclusive jurisdiction over disputes arising out of or related to these Terms or the Product, and each party submits to that jurisdiction and venue.
19. Changes to these Terms
XrmGhost may update these Terms from time to time. Updated Terms will apply from the effective date stated in the updated version. If you continue to use the Product after updated Terms take effect, you agree to the revised Terms.
