This XrmGhost License v1.0 (the License) is a proprietary agreement between XrmGhost and the legal entity or other organization that acquires, accesses, installs, activates, or uses the Software, or on whose behalf the Software is used (Customer). By acquiring, accessing, installing, activating, or using the Software, Customer agrees to this License.
1. Definitions
- Software means the XrmGhost software, packages, updates, documentation, and related materials made available by XrmGhost under this License.
- Trial means the no-fee, organization-level offer described in Section 4.
- Standard means the base paid subscription offer described in Section 5.
- Pro means the paid production offer described in Section 6.
- Seat means one named individual authorized by Customer to access or use the Software for Customer's benefit.
- Affiliate means an entity that controls, is controlled by, or is under common control with Customer. An Affiliate may use the Software only if expressly authorized by XrmGhost in writing or in an applicable order.
2. Ownership
The Software is licensed, not sold. XrmGhost and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly stated in this License.
3. Single proprietary license model
This License is the single proprietary license governing Trial, Standard, and Pro. Trial, Standard, and Pro are not separate licenses; they are different commercial and usage configurations under this same License. The applicable offer determines the scope, duration, seat limits, and permitted use, but all use remains subject to the same ownership terms, restrictions, disclaimers, termination rights, and other conditions in this License.
4. Trial offer
Subject to Customer's compliance with this License, XrmGhost grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software under the Trial offer solely for Customer's internal evaluation of whether to purchase or otherwise obtain broader rights from XrmGhost.
Trial is an organizational offer, not an individual or household offer. Under Trial:
- Customer may authorize no more than 3 Seats in total across the organization unless XrmGhost approves more in writing.
- Customer may use Trial for no more than 60 days from the earlier of first access, first installation, first activation, or first use of the Software for any non-demo business purpose by Customer.
- Trial is only for internal evaluation of whether Customer wishes to purchase or otherwise obtain a broader right to use the Software.
- Trial does not permit ongoing production use, commercial service delivery, managed services, outsourced operations, or client-delivery work for third parties, even if those activities are limited in volume or described as testing, pilot, or proof-of-concept work.
If Customer wants to continue using the Software after the Trial limits end, or if Customer's intended use exceeds Trial before those limits end, Customer must stop the non-permitted use unless and until Customer obtains Standard or Pro rights from XrmGhost.
5. Standard offer
Subject to Customer's compliance with this License and payment of applicable fees, XrmGhost grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software under the Standard offer during the applicable subscription or license term stated in Customer's order.
Standard is the base paid subscription offer. Unless an order expressly states otherwise, Standard permits Customer's internal business use for Customer's own operations, subject to the purchased Seat count and any other written limits in the order.
Standard does not permit revenue-generating third-party client-delivery work or use exceeding the Seat and feature limits in Customer's order unless XrmGhost expressly authorizes that in writing.
6. Pro offer
Subject to Customer's compliance with this License and payment of applicable fees, XrmGhost grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to use Pro during the applicable subscription or license term stated in Customer's order.
Unless an order expressly states otherwise, Pro permits Customer's internal business use and professional use for Customer's own operations, including production use, subject to the purchased Seat count and any other written limits in the order. If Customer is a consultant, partner, or service provider, Pro also permits use for third-party client-delivery only to the extent expressly covered by Customer's order or other written authorization from XrmGhost. No Pro right arises by implication from Trial use, Standard use, support discussions, purchase negotiations, or the absence of a technical restriction.
7. Seat scope and organizational responsibility
Customer is responsible for all use of the Software by its personnel, contractors, and representatives acting on Customer's behalf. Customer may not share one Seat among multiple individuals at the same time, rotate named Seats in a way that defeats the commercial intent of this License, or treat temporary identity changes or account substitutions as creating new Seat entitlements.
Customer may not split a single organization into nominally separate teams, subsidiaries, business units, contractors, or accounts for the purpose of avoiding Seat limits, term limits, fees, or offer restrictions. XrmGhost may treat coordinated or commonly controlled use as use by a single Customer for License compliance purposes.
8. General restrictions
Except as expressly permitted by mandatory law that cannot be waived, Customer must not, and must not permit any third party to:
- sell, resell, rent, lease, lend, timeshare, or otherwise commercially exploit the Software except as expressly authorized by XrmGhost in writing;
- sublicense, distribute, publish, or make the Software available to any third party except as expressly authorized by this License or by XrmGhost in writing;
- copy, modify, adapt, or create derivative works of the Software except as expressly permitted by applicable law or written authorization from XrmGhost;
- reverse engineer, decompile, disassemble, decode, or attempt to derive source code, underlying ideas, or non-public technical structure of the Software, except to the limited extent mandatory law expressly permits despite this restriction;
- circumvent, disable, defeat, interfere with, or work around any licensing, access, metering, security, or usage-control mechanism associated with the Software;
- remove, alter, obscure, or bypass any proprietary notices, attribution, branding, or legal notices included in or on the Software;
- use the Software to provide a competing product or service, or to benchmark or disclose comparative results in a misleading or disparaging manner;
- use the Software in violation of applicable law, regulation, sanctions, or third-party rights; or
- continue any use that exceeds the applicable Trial, Standard, or Pro scope.
9. Anti-avoidance
Customer may not structure, sequence, disguise, or re-characterize use of the Software to avoid this License's limits or commercial terms. Prohibited avoidance includes repeated re-registration, rotating identities or Seats, cycling through Trial or Standard to continue substantially the same use without obtaining Pro, fragmenting one deployment into multiple nominal customers, or using contractors, affiliates, customer environments, or intermediary entities to extend rights that were not purchased or expressly granted.
The absence of a technical block, online acceptance record, telemetry gate, automated enforcement mechanism, or immediate invoice or notice does not create additional rights, does not waive any License term, and does not excuse Customer from compliance.
10. Compliance and phase 1 enforcement
Customer must maintain reasonable records sufficient to show compliance with Seat counts, offer limits, and term restrictions. On reasonable notice, XrmGhost may request information reasonably necessary to confirm compliance.
Customer acknowledges that, in the current phase of the product, enforcement of this License is expected to be primarily contractual. XrmGhost may use notices, invoices, account review, license-key controls, access controls, or similar operational measures where available, but Customer must not assume that any specific technical enforcement, acceptance persistence, site-synchronization mechanism, or runtime control exists or is required for this License to be binding.
11. Feedback and updates
Customer may provide suggestions or feedback about the Software. Customer grants XrmGhost a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or obligation.
Updates, patches, and new versions made available by XrmGhost are part of the Software unless XrmGhost states otherwise, and they remain subject to this License. Any support, guidance, or implementation suggestions provided by XrmGhost are provided as a convenience only, do not expand the license grant, and do not modify the disclaimers in Section 14 unless XrmGhost agrees otherwise in a separate signed writing.
12. Suspension and termination
This License, and any rights under Trial, Standard, or Pro, automatically terminate if Customer breaches this License. XrmGhost may also suspend or terminate access or use if Customer exceeds licensed limits, fails to pay applicable fees, or uses the Software in a prohibited way.
Upon termination or expiration, Customer must immediately stop using the Software and, if requested by XrmGhost, delete or destroy copies of the Software in Customer's possession or control, except to the limited extent retention is required by law.
13. Survival
Sections concerning ownership, restrictions, anti-avoidance, compliance, feedback, disclaimers, limitation of liability, termination consequences, and any payment obligations accrued before termination survive termination or expiration of this License.
14. Disclaimers
THE SOFTWARE IS PROVIDED AS IS AND AS AVAILABLE TO THE MAXIMUM EXTENT PERMITTED BY LAW. XRMGHOST DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. XRMGHOST DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR CUSTOMER'S NEEDS.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XRMGHOST WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS LICENSE, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XRMGHOST'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS LICENSE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY CUSTOMER TO XRMGHOST FOR THE SOFTWARE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100) FOR TRIAL OR STANDARD USE.
16. General
Failure by XrmGhost to enforce any provision of this License is not a waiver. If any provision is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. Customer may not assign or transfer this License, in whole or in part, without XrmGhost's prior written consent. XrmGhost may assign this License in connection with a merger, acquisition, reorganization, or sale of assets.
